General Rules and Regulations
The Association of Rotational Molders (ARM) and its authorized representatives are hereafter referred to as Show Management.
All exhibits shall serve the interest of the members of ARM and the rotational molding industry and should be operated in a way that will not detract from other exhibits or from the exposition.
1. Who May Exhibit
ARM reserves the right to determine eligibility of any applicant as an Exhibitor or of any product proposed for exhibition, up to and including the dates of the exposition. ARM may, in its sole discretion, determine that certain organizations are ineligible to exhibit due to the objectionable nature of their products, services or special interest. Outstanding ARM accounts must be paid in full before any company shall be allowed to exhibit.
In the event of such restriction or eviction, ARM is not liable for any refund of exhibit fees, or any other exhibit-related expense.
2. Cancellation or Failure to Occupy Space
There will be no refunds for cancellations made after acceptance of the form for exhibit space. If booth space is not occupied one hour prior to the exhibit opening, Show Management shall have the right to use such space as necessary to eliminate empty spaces in the exhibit hall.
3. Force Majeure
Should any circumstance beyond the control of ARM, including by way of example and not by way of limitation, acts of God and nature, acts of terrorism, actions by governmental authority (whether valid or invalid), fires, explosions, riots, natural disasters, epidemics, disease, wars, sabotage, work stoppage or other labor problem, prevent ARM from holding the exposition as scheduled, ARM shall be entitled to cancel the exposition and terminate this Agreement without penalty, in which event Exhibitor shall be entitled to a pro-rated refund of such portion of its Exhibitor fee as remains following deduction by ARM of the expenses incurred up to the time this Agreement is terminated. Notwithstanding the foregoing, upon agreement with ARM, Exhibitor may elect to apply its Exhibitor fee to the next year’s exposition.
4. Use of Space
Included with each paid 10' x 10' booth space:
- Pipe and drape
- One table
- Two chairs
- One wastebasket
- Name sign
- 5 AMP Single Phase Electricity
- Displays must be limited to items, which can be accommodated within your booth area. Interference with the light and space of other exhibitors is prohibited.
- Exhibit areas must be staffed during exhibit hours by persons who are prepared to effectively explain all products and services on display.
- Each exhibitor must be registered and wear the official exhibitor’s identification badge provided by ARM.
- Only personnel directly employed by the exhibiting company are permitted to participate (staff the booth). Manufacturer’s representatives, hired by contract to sell and promote the exhibitor’s products, will be considered direct employees for the purpose of this show. Primary representatives of the exhibiting company shall ensure that these persons, while working in the booth, will promote the exhibiting company’s products only, even though they may be licensed to sell other companies’ products.
- Audio-visual equipment may be used so long as it does not interfere with other exhibits.
- All solicitation, demonstration, or other promotional activities must be confined to the limits of the exhibit space.
- No exhibitors shall assign, sublet, or share their allotted space.
- Exhibitors must show only goods manufactured or dealt with by them in their regular course of business.
5. Sales
No goods are to be sold for delivery on the floor. Orders may be taken for future delivery.
6. Photography and Video Recording
Exhibitor agrees that ARM, including its agents, contractors, and ARM -hired photographers may take photographs of or video record Exhibit Hall during exhibit hours and at events during the exposition. Any photograph(s) or video recording(s) will be (collectively) referred to as the “Photos.” Exhibitor agrees that ARM will have a perpetual, irrevocable license to retain, reproduce, use, alter, display, and distribute the Photos in ARM-related materials or on ARM’s website. Exhibitor further agrees that no compensation will be paid to Exhibitor by ARM with regards to the Photos. Notwithstanding the foregoing, photography by other exhibitors or attendees will be allowed in the trade show only upon permission of the exhibitors or individuals in charge of the exhibit space being photographed.
7. Hospitality Functions/Outside Exhibits
Without express written approval of ARM, Exhibitors are prohibited from scheduling private functions, cocktail parties, special events or other hospitality functions during official exposition hours or during hours when an ARM activity is being held. Exhibitors shall not display products/services and/or other advertising material in areas outside their booth space including, but not limited to, parking lots, hotel lobbies, lounges, and corridors, without express written approval from ARM. Unauthorized facility tours are also prohibited.
8. Liability
Exhibitor acknowledges that ARM does not maintain insurance covering Exhibitor’s property and that it is the sole responsibility of Exhibitor to obtain business interruption and property damage insurance covering such losses by Exhibitor. Exhibitor acknowledges and agrees that it shall be solely responsible for obtaining any licenses, permits, etc. which may be required for it to broadcast, perform or display any copyrighted materials including, but not limited to, music, video, and software. Exhibitor shall indemnify, defend and hold ARM, its directors, officers, agents, and representatives harmless from and against any and all claims and expenses, including attorney’s fees and costs, arising out of or related to Exhibitor’s breach of this provision.
9. Security
Exhibitors should take all steps which they deem advisable to protect merchandise or equipment which they have on display. Please be certain that all small display and personal items are secure before leaving the display, even temporarily. ARM is not liable to any exhibitor for the loss or damage of property. The exhibit facility is a public building. Exhibitors are cautioned to assure the safety of valuable items when they are not in attendance of their exhibitor booths and to exercise caution during the exhibit hours.
10. Insurance
Exhibitors must carry insurance coverage against damage or loss and public liability insurance against injury to the person and property of others and worker’s compensation. Exhibit materials should be covered from the time they are shipped through move-in, exhibit dates, move-out, and until all materials have been received at the point of origin. The exhibitor assumes the entire responsibility and liability for losses, damages, and claims arising out of injury or damage to exhibitor’s display, equipment, and other property brought upon the premises and shall indemnify and hold harmless ARM from any and all such abuses, damages, and claims.
11. Indemnification
Exhibitor shall indemnify, defend and hold harmless ARM, its officers, directors, agents, and representatives against and from any and all losses, costs, damages, liability, or expenses (including attorney’s fees) arising from or by reason of any accident, bodily injury, property damage or other claims or occurrences to any person, including Exhibitor, its employees, agents, contractors, or any business invitees, arising out of or related to Exhibitor’s occupancy or use of the exposition premises or in and adjacent to the exhibit facility, including storage and parking areas. The terms of this provision shall survive the termination or expiration of this contract.
12. Alcoholic Beverages
Exhibitors shall not be permitted to sell, serve, or give away alcoholic beverages in the exhibit facility without the express written approval of Show Management.
13. Compliance
Exhibitor agrees to abide by and comply with the Rules and Regulations including any amendments that ARM may make. Exhibitor further assumes all responsibility for compliance with all pertinent laws, ordinances, regulations, codes of duly authorized local, state, and federal governing bodies concerning fire, safety, and health as well as the rules and regulations of the operators of and/or owners of the property where the exposition is held.
14. Content
By offering content in connection with the exposition, including the use of Exhibitor’s name and logo, Exhibitor automatically grants, and represents and warrants that Exhibitor has the right to grant to ARM a non-exclusive, perpetual, irrevocable, sub-licensable (through multiple tiers), assignable, fully-paid, royalty-free, and worldwide license to use, copy, modify, adapt, publish, make, sell, publicly display, create derivative works of or incorporate into other works all of such content (in whole or in part), including Exhibitor’s name and logo; communicate to the public, distribute (through multiple tiers), perform or display all of such content (in whole or in part), including Exhibitor’s name and logo, in any form, media, or technology now known or later developed; and to grant and authorize sublicenses of the foregoing through multiple tiers of sub-licensees, including the right to exercise the copyright, publicity, and any other rights over any of the materials contained in all of such content for any purpose, including without limitation (a) for purposes of advertising and publicity and (b) otherwise to generate revenue or other remuneration. ARM shall not be limited in any way in the use, commercial or otherwise, of any of such content, and Exhibitor hereby waives any approval rights to such content. ARM reserves the express right to incorporate any such content into any further work, in any medium now or hereafter known, without prior consent or review, and without attribution or payment of any royalty or fee whatsoever.
15. Non-Endorsement
The exhibiting of services, products, or equipment at the exposition does not constitute an endorsement by ARM, its members, or other ARM sponsors or participants of such services, products, or equipment. Exhibitor is not permitted to represent in any manner that its goods or services have been endorsed by ARM, its members, or other ARM sponsors or participants.
16. Failure to Comply
Show Management reserves the right without notice and with no liability whatsoever for damage or loss, for inconvenience, or business interference, to close down, dismantle, dispose of, store or clear away from the premises, or to order such work to be done at the expense of the Exhibitor, any exhibit booth display material, goods, property, or merchandise of any exhibitor who fails to comply with any portion of these Rules and Regulations. Should any Exhibitor fail to dismantle its display and/or remove its products and/or services within the terms of these Rules and Regulations, Show Management may remove the exhibit display booth products and/or services, at Exhibitor’s expense, without liability on the part of Show Management or the exhibition facility.
17. Changes
ARM reserves the right to make any reasonable changes in the rules necessary to insure the health and safety of those in attendance, the Exhibitors, the significance of the exposition, and the harmony of operation. Exhibitors shall be advised of any such changes by written bulletin, and such changes shall be binding. If there is any conflict between this Agreement and any subsequent rule changes made by written bulletin, the written bulletin shall control.
